keep it simple and sell your accounts/business to them.
That way you have an arms length relationship, no confusion .
Things can get complicated with unforseen problems and there'd be no way of reducing every possibility to paper.
If , under the present plan you bring in some big accounts and they screw them up(you're the chef but they are the owners) you'll be in a sticky spot, trying to get your cut when they mess it up.
Also, maybe more importantly, you could end up losing your accounts to them with no compensation should trouble develop further down the road.

When it comes to pay I always prefered to say what the going rate was then agree to prove myself worthy of it, that way you're not under pressure from the get go.
